The following sets forth a general summary of terms and conditions of business between Huntridge Video Productions, Inc. (d/b/a Huntridge Legal Videography Services / HLVS) and the Client, and should not be interpreted as a complete explanation of all conditions of business which may be applicable. This general summary does not constitute a contract, but represents HLVS's policies in doing business.

The client shall pay the prices set forth on HLVS's current rate sheet, plus applicable taxes, unless HVP agrees otherwise in writing. Special Project (SP) work is considered booked upon receipt of retainer as per rate/service sheet. Depositions and all fulfillment to out of state parties will be sent COD, following a faxed advisory and invoice, unless prior arrangements are made.

A 50% fee will be charged for cancellations of reserved time which occur less than 24 hours prior to the appointment, unless the time is filled. Under the above conditions, a retainer or portion thereof may be held without refund.

HLVS's equipment may be operated only by an authorized HLVS operator. The client shall pay HLVS in full for any damage caused to HLVS's equipment caused by Client's unauthorized use of said equipment. In the event of equipment failure, HLVS is not liable for any Client loss whatsoever, other than a make good on time lost. This includes power, operation, transportation and/or etc. HLVS will, however, endeavor to properly maintain all equipment, and check out the aforementioned prior to its use.

Any claim for adjustment must be presented to HLVS in writing within ten (10) days after the date of invoice, together with a return of all products and materials claimed defective.

HLVS at its discretion shall determine whether an adjustment is merited, and if so, whether to replace any defective item, provide an equivalent amount of time, production personel or facilities, issue a credit or refund all or part of the price paid by the client, In the event proceedings at law or through an attorney at law are required to collect any amounts due to HLVS. the Client shall pay all costs and expenses, including reasonable attorney's fees, incurred by HLVS with respect to enforcement of HLVS's rights.

Storage of any tapes, media or property of Client by HLVS is provided solely as a convenience to the Client, and HLVS shall not be held liable for any loss, destruction or damage thereto, including consequential damages resulting from any cause whatsoever. HLVS shall have a lein on all tapes and other property of the client in HLVS's possesion, as well as all tapes, discs, and other materials made by HLVS, to secure the balance of any sums owed by the Client.

The Client represents and warrants that the work to be performed by HLVS is not in any way defamitory, nor violates or infringes any copyright, trademark or patent, or any civil right of privacy of any other person or entity. The client shall fully indemnify HLVS, its officers, employees and agents, jointly and severally, and hold them harmless from and against any and all claims, damages, suits, demands, and liabilities and expenses of any nature, including reasonable attorney's fees and court costs, arising out ofthe production, distribution, or exhibition of any product produced for the Client by HLVS.

In the event of any defective products or services by HLVS, and if a timely claim for adjustment is made, HLVS's sole responsibility shall be to provide an equal amount of time, personel and facilities, or issue a credit or provide a refund, at HLVS's option. HLVS shall have no other liability in any such event, including any direct or indirect damages or losses. Any changes or revisions are not considered part of a contract, quote, or estimate, and will be charged as additional work at standard rates.
